ABC’s stated reasons: 10% or more of the applicant is held by other entities; the premises are within 100 feet of residences and within 200 feet of John Yehall Chin Elementary School. The ten conditions are reporting of any change in ownership at any tier within 30 days (1–3), real food service under §23038 (4), noise limits tied to the club’s San Francisco Entertainment Commission permit (5–6), litter (7), a certified uniformed guard at the door from 7 pm to closing (8), no interior changes without approval (9), and no exterior advertising of topless or nude entertainment (10).

What is not there: the Harry V. Mohney exclusion that has sat on the Hustler Club and Condor licenses since 1998. This license was issued in 2025 to an LLC one-third owned by an LLC of Mohneys, without it.

Discrepancies and open threads

Mohney’s discipline answer flipped. Yes with a license number in February 2022; No in December 2024, after the cited license had actually been disciplined. Under penalty of perjury both times.

The 2021 restructuring was network-wide, and it fits in two days. 11/18/2021: Frisco & Seattle formed. 12/10/2021: the Eric Forbes trust dated. 12/30/2021: S.A.W.’s three thirds reissued to the three trusts. 12/31/2021: Roger Forbes’s S.A.W. third split 75/25 between the Carouba and Eric Forbes trusts; Frisco & Seattle seated in JRJ-SF and in BT; the Carouba trust seated in BT; BT’s operating agreement amended. The JRJ-SF update reached ABC 3/2022, the S.A.W. stock sale 4/2022, the BT application 12/2024. Whatever happened to Roger Forbes was papered across all three licensees in the last two days of 2021.

Who held BT’s other two thirds before 12/31/2021? JSSMB has been a member since 10/8/2002. The Frisco & Seattle and Carouba-trust seats both carry a 12/31/2021 effective date, and the questionnaire lists only present members. Roger Forbes and Carouba, individually, is the obvious reading; the file does not say.

A member before it existed. The Eric Forbes trust is dated 12/10/2021 and is shown as a Frisco & Seattle member effective 11/18/2021, on this filing and on the 2022 Gold Club filing alike.

The fifth JSSMB line. The members list has a fifth row with an effective date of 11/20/2001 and no name or percentage. The four named members already sum to 100%.

Seattle is the back office for all three. BT’s headquarters, Frisco & Seattle’s headquarters, the bookkeeper and two landlord LLCs (250 Columbus Avenue LLC; 408-412 Broadway LLC) all resolve to 1520/1530 1st Ave S and (206) 328-7249 — the number Consolidated Bookkeeping used in 2003. The headquarters phone on the BT and Frisco & Seattle questionnaires, (415) 203-1428, is the Gold Club and JRJ-SF number and Carouba’s officer line at S.A.W.

The buildings. “408-412 Broadway, LLC” as landlord suggests the operators or their affiliates own the Vanity building, as “250 Columbus Avenue, LLC” suggests for the Hustler Club. The Assessor-Recorder would confirm.

AEI’s early years. The Penthouse Club license was issued to Alternative Entertainment Inc. in June 1997, four years before BT California existed. Who owned AEI in 1997–2001, and whether Conti was among them, is in the 321129 file, which was not requested.

The premises diagram was “compared to ABC-257 dtd 06/20/1996,” so ABC’s floor plan for the club predates AEI’s license — the prior licensee’s file would identify who ran 412 Broadway before 1997.

Carouba’s BSC start date is again “01/1997,” as in 2022, against the 4/25/2001 date sworn in 2003.

Unverified

That JSSMB’s initials are the members’ first names; who Mary Beth Mohney, Sharla Mohney and Stephanie Couch are; that Vanity is a continuation of the Penthouse Club rather than a new operation; who held the two non-Mohney seats before 12/31/2021; and that 408-412 Broadway LLC and 250 Columbus Avenue LLC are affiliates of the operators rather than merely clients of the same bookkeeper.

Rebuilt against the ABC-256-LLC questionnaires received 12/27/2024 (BT California and Frisco & Seattle signed by Carouba 12/13/2024, JSSMB signed by Jason Mohney 12/19/2024). Changes: all member percentages are now stated from the forms rather than inferred — BT’s three thirds, JSSMB’s 40/20/20/20, Frisco & Seattle’s 75/25; effective dates are added (JSSMB 10/8/2002; the other two seats 12/31/2021); the S.A.W. column of the seats table carries share counts from the S.A.W. register; the seven-to-four-to-one reading is added; the fifth JSSMB line, the pre-dated Eric Forbes trust seat and the (415) 203-1428 link are recorded. Everything else is carried over unchanged.
